KENDALL COUNTY REPUBLICAN WOMEN

BY-LAWS

 

ARTICLE I - Name and Address

 

The name of this organization shall be KENDALL COUNTY REPUBLICAN WOMEN.  The address of the club shall be at the discretion of the Board.

 

ARTICLE II – Objectives

The Objectives of this organization shall be:

  • To promote an informed public through political education and activity;
  • To increase the effectiveness of women in the cause of good government through active participation;
  • To facilitate cooperation among Republican Women of Texas, and to contribute to the welfare and growth of Republican women’s clubs in the state;
  • To foster and encourage loyalty to the Republican Party and its candidates, and to promote its ideals, and to work for the election of the Republican Party’s nominees.
  • To work for the election of the Republican Party’s nominees

 

ARTICLE III – Policy

 

Section 1.  The club and its President and the Campaign Activities Chairman shall not endorse any candidate for public office in contested Republican primaries, runoff elections, and special elections, and/or non-partisan elections when more than one Republican is in the race.  Individual members of this organization, except for the President and Campaign Activities Chairman, may work for any candidate of their choice in contested Republican primaries but not in the name of the club.  A non-Republican candidate shall not address Kendall County Republican Women.

 

Section 2.  This article pertains only to contests between Republican candidates for public office.  An officer of this organization who is a candidate or whose husband or a member of her family is a candidate shall be exempt from this rule.

 

Section 3.  If requested by the Texas Federation of Republican Women for a vote on a proposed statement or resolution on a controversial issue, the club shall not act without obtaining a two-thirds vote of the members.

 

Section 4.  Any officer or committee chairman shall be a registered voter.

 

Section 5.  There shall be no lobbying with Legislators using the name of the Texas Federation of Republican Women by this club or any individual member of it without the express permission of the Board of Directors of the Texas Federation of Republican Women.

 

Section 6.  This organization and its officers shall not issue statements or pass resolutions on controversial issues in the name of the organization without first polling its members and obtaining a two-thirds (2/3) written vote of approval of the total membership.

 

ARTICLE IV – Membership

 

Section 1.  This organization shall be a member of the Texas Federation of Republican Women (TFRW) and of the National Federation of Republican Women (NFRW), shall support their objectives and policies, and shall pay service charges and per capita dues to the TFRW and NFRW.

 

Section 2.  Membership in this club is open to any woman believing in the principles of the Republican Party.  If a prospective member is a citizen of the United States, she shall be a registered voter.

 

Section 3.  Membership Classifications:

 

(a)   Active – any woman who believes in the philosophy of the Republican Party

and the objectives of the club, participates in club activities, and pays the required

annual dues is classified as an Active Member.  An active member may be counted in only one local club for the purpose of delegate representation to Federation State and National Conventions, and this will be the only club in which she may hold office.  Her dues and name shall be submitted to TFRW from her primary club only.

(b)  Active/Supporting – Any woman who believes in the philosophy of the

Republican Party and the objectives of the club, and who pays the required annual

dues, but who is unable to participate fully as does an Active Member, is classified

as an Active/Supporting Member.  She shall enjoy all the rights and privileges of an

Active Member.

(c)   Men Associate Membership – May be granted to Republican men upon payment

of one-half of the required annual dues for Active membership and that such members

may attend meetings and serve on a committee but cannot make motions, have voice

or vote, hold office, or be counted for the purpose of determining the numbers of

delegates to regional, state or national meetings or conventions, nor may they  become members of the TFRW.

(d)  Women Associate Membership – A Republican woman who is a regular member of a club club and who wishes to support another club may be eligible for Associate Membership upon payment of required dues to said club.  She may attend meetings and serve on a committee but cannot make motions, have a voice or vote, hold office, or be counted for the purpose of determining the number of delegates to National or State Federation meetings or conventions.  As an Associate Member, she does not become a member of the State or National Federation.

 

Section 3.  To be eligible to vote in club elections, a member must have paid her dues at least 30 days prior to the election.

 

ARTICLE V – Officers and Executive Committee

 

Section 1.  The officers of this club shall be President, Vice President, Secretary and PAC Treasurer.

Section 2.  The duties of the officers shall be stated below:

 

(a)    The President shall preside at all meetings of the club and of the Executive     

Committee; have general supervision of the work of the organization; appoint chairmen of all standing committees, with the exception of Program Chairman; prepare a program of action, after consultation with the Chairmen of standing committees, for presentation to the Executive Committee; appoint a Parliamentarian and Chaplain; sign checks in an emergency and by vote of the Executive Committee if the Treasurer is unable to do so; and be an ex-officio member of all committees except for the nominating Committee.

 

(b)   The Vice President in the absence of the President shall perform duties of the   

President.  She shall also serve as Chairman of the Program Committee, and perform such other duties as the President may prescribe.

 

(c)  The Secretary shall keep a factual and unbiased record of all proceedings of all

Meetings of the club and Executive Committee; shall issue all authorized notices to membership; shall carry on the correspondence of the club; shall have custody of all records pertinent thereto; and shall perform such additional duties as may be required of the office.

 

(d ) The PAC Treasurer shall receive and be custodian of all funds of the club and shall pay all bills upon authorization of the President or the Executive Committee. She shall keep an account of all monies received and/or disbursed, report in full at the Annual Meeting and at such regular meetings as required by  the President, and keep an up-to-date roster of the membership of the club.  She shall submit service fees and membership submittals with dues for each active and supporting member to TFRW.  The Treasurer shall submit all records at the end of the year for review or audit and she shall see that an audit is conducted before turning over the books to her successor.  She shall file all reports with the Texas Ethics Commission as required by law.

 

Section 3:  The Executive Committee shall consist of:

 

(a)    The elected officers of the club;

(b)    The chairmen of the standing committees;

(c)    The immediate past President of the club.

 

Section 4:  Duties of the Executive Committee shall consist of:

 

(a)    The transaction of any necessary  business between formal meetings;

(b)    The preparation of recommendations for changes in club policies.

(c)    Serving as advisors to the President;

(d)    To direct disbursement of the club funds;

(e)    To fill vacancies that occur in elective offices between elections.

 

Section 5:  A quorum of any meeting of the Executive Committee shall be a majority of the members of that body.

 

Section 6:  Terms of Office shall be:

 

(a)    The club officers, except PAC Treasurer, upon election, shall take office at the end of the Annual Meeting, serving until the next Annual Meeting.  Because of reporting requirements, the PAC Treasurer shall take office on January 1 and serve until December 31.

 

(b)    The club officers  may not serve in the same office for more than two consecutive terms.

 

(c)    The Committee Chairs terms shall be January 1 through December 31, and no

(d)    Committee Chair may serve in the same capacity for more than two consecutive terms except the Telephone Committee Chair and the Historian/Scrapbook Chair who shall be exempt from this ruling.

 

(e)    All officers and all Committee Chairs shall deliver all records, files and properties of the club to their successors before December 31 of the year in which they are retiring from office unless otherwise directed by the President.

 

ARTICLE VI – Meetings

 

Section 1:  The Annual Meeting of the club shall be held in November.

 

Section 2:  Meetings of the club shall be held on the second Tuesday of each month unless otherwise ordered by the Executive Committee, which shall give no less than seven (7) days notice of the change to the membership.  There shall be at least ten meetings each year.

 

Section 3:  Special meetings shall be held at the call of the President, or upon the request of five or more members; the purpose of the special meeting shall be stated in the call, and no other business shall be considered at that meeting.

 

Section 4:  Meetings of the Executive Committee shall be held prior to the scheduled club meetings and at such time and place as may be determined by the President.

 

Section 5:  Special meetings of the Executive Committee may be called by the President or upon the request of a majority of the members of the Committee; in such instances, the purpose of the meeting shall be so stated in the call, and no other business may be considered or transacted.

 

ARTICLE VII - Dues

 

Section 1:  The fiscal year of the club shall be from January 1 through December 31.

 

Section 2:  Dues shall be payable on January 1.  The amount of Active and  Active/Supporting membership dues shall include Texas Federation and National Federation dues with the balance to be retained by the local club.

 

Section 3: Annual dues shall be set by the Board.

 

Section 4: This organization shall pay the annual per capita dues for its active and supporting members to the TFRW and NFRW.

 

Section 5:  This club shall pay the annual service charges required by TFRW and NFRW and submit names and addresses of club officers and members with payment.

      

ARTICLE VIII – Nominations, Elections, and Installations

 

Section 1:  A Nominating Committee of not less than three members shall be elected by the club at a regular meeting prior to the annual meeting.  Such election shall occur at a time that will permit the Nominating Committee to send, or present via public media, a

proposed slate of new officers to all club members at least two weeks prior to the annual

meeting.  The Committee shall elect its own chairman from among its members.  The Nominating Committee shall submit one nominee for each office, such nominations to be considered by the club at its annual meeting at which time nominations from the floor shall be allowed.

 

Section 2:  Elections shall be held at the annual meeting.  If there is only one candidate for an office, election may be by voice vote.  A majority vote shall elect.  No absentee or proxy vote shall be permitted.

 

Section 3:  Members of the Nominating Committee shall not succeed themselves.

 

Section 4:  Installation of new officers will be held before the end of the calendar year.

 

 

ARTICLE IX – Committees

 

Section 1:  Standing committees of this club shall be:

 

(a)    Awards

(b)    By-laws

(c)    Campaign Activities

(d)    Caring for America

(e)    Heritage/Americanism

(f)     Historian & Scrapbook

(g)    Hostess

(h)    Legislation & Hotline

(i)     Membership

(j)     Memorials

(k)    Program

(l)     Public Relations & Newsletter

(m)    Senior Americans

(n)    Telephone

(o)    Voter Registration

(p)    Ways & Means

(q)    Yearbook

(r)     Youth Activities

(s)     Political Action

 

Section 2:  The chairs of the standing committees shall be appointed by the President.  The committees shall outline programs for action for consideration and adoptions by the Executive Committee.  The committees shall carry out such other duties as may be prescribed by the Executive Committee and/or President.

 

Section 3:  Special Committees and offices may be appointed by the President and/or

Executive Committee as deemed advisable, such as Parliamentarian, Chaplain, Special Events.

 

Section 4:  Members of the Standing Committees shall be chosen by the Chairman of

their respective committee.

 

Section 5:  A quorum for a meeting of any committee shall be a majority of the members of the committee.

 

Section 6:  All committees shall report to the club at regular meetings and as ordered by the President.

 

Section 7: The Political Action Committee shall be chaired by the PAC Treasurer elected by the membership as prescribed herein.  She shall abide by Texas Election Laws and the opinions issued by the Texas Ethics Commission.  All decisions relative to the distribution of funds shall be approved by the Executive Committee.

 

ARTICLE X – Representation

 

Section 1:  This club shall be represented at the Biennial State Convention in the fall of odd numbered years by one delegate and one alternate for each ten (10) members or major fraction thereof.  Delegates and alternates to the State Convention shall be elected at the meeting immediately following receipt of the Call to Convention.

 

Section 2:  The President of Kendall County Republican Women shall represent the club as delegate to the Biennial National Federation Convention which convenes in the fall of odd numbered years, and an alternate shall be elected at the May meeting.  If the President is unable to attend, one delegate and one alternate shall be elected at the May meeting.

 

Section 3:  For the purpose of delegate representation to the Texas Federation of Republican Women and the National Federation of Republican Women conventions, a member may be counted in only one club, and this will be the only club in which she may hold office.  Her dues and name shall be submitted to the Texas Federation of Republican Women from this club only (See Women Associate Members).

 

ARTICLE XI – Quorum

 

Section 1:  A quorum for a meeting of this club shall consist of ten percent (10%) of the members.

 

ARTICLE XII – Parliamentary Authority

 

Robert’s Rules of Order, Newly Revised, shall govern all proceedings except where inconsistent with the provisions for the by-laws of this organization.

 

ARTICLE XIII – Amendments

 

These by-laws may be amended by a two-thirds vote of the active members present and voting at any regular or special meeting of the club providing that notice of the proposed amendments has been given in writing or via public media to all members at least thirty (30) days prior to the meeting; and that such amendment is not inconsistent with the by-laws of the Texas Federation of Republican Women.
